1. Introduction

You have reached a website and its subdomains, including portal.creditlab.io (the "Site"), owned and operated by CreditLab and its affiliates ("CreditLab," "we," "our," or "us"). Please read these terms carefully. By accessing or viewing the Site or using any tool or service offered on it (collectively, the "Services"), you agree to these Terms and Conditions ("Terms"). These Terms form a contract between you and CreditLab; if you use the Site or Services on behalf of a company or organization, that company or organization is also a party to these Terms.
We may modify, add to, or delete portions of these Terms from time to time and will post changes on this page with an updated date above. Your continued use of the Site after changes are posted means you accept them. We may also change, suspend, or discontinue features of the Site at any time.
2. Privacy Policy
Our Privacy Policy explains how we collect, use, and protect information through the Site and Services, and our Cookie Policy explains our use of cookies. Both are incorporated into these Terms, and by using the Site you consent to the practices they describe.
3. No Professional Advice; Estimates
The Site provides general information about federal and state research & development (R&D) tax credits, together with tools that produce preliminary, indicative estimates from the figures you enter. Nothing on the Site is tax, legal, accounting, or financial advice, and no professional or advisory relationship is created by using the Site. Estimates are illustrations only: actual credit amounts depend on a full review of your specific facts and applicable law, and are determined solely under a signed engagement. You should not act on information from the Site without obtaining advice appropriate to your circumstances.
4. Engagements
If you engage CreditLab, the services to be performed, fees, deliverables, and each party's responsibilities are governed exclusively by the written engagement letter between us. If anything in these Terms conflicts with an engagement letter, the engagement letter controls for that engagement.
5. Use and License; Proprietary Rights
We grant you a limited, revocable, non-exclusive license to access and use the Site for your personal or internal business purposes. The Site contains content protected by copyright, trademark, and other proprietary rights — including text, graphics, logos, calculators, software, page design, and the selection and arrangement of content (the "Content"). Unless otherwise indicated, CreditLab or its licensors own all Content. Your use of the Site grants you no ownership of any Content. You may print or save copies for personal or internal business use, provided you keep all proprietary notices intact. You may not otherwise reproduce, modify, distribute, sell, or create derivative works from the Content without our prior written permission.
6. Acceptable Use
- Provide accurate, current information in any form you submit — estimates and our responses depend on your inputs.
- Do not use the Site for any unlawful purpose, or in a way that could damage, disable, or impair it.
- Do not attempt to gain unauthorized access to any systems, accounts, or data connected to the Site.
- Do not scrape, harvest, or bulk-download Content or data from the Site, or use automated means to access it other than ordinary search-engine indexing.
7. Submitted Information
Information you submit through forms on the Site (for example estimate requests or intake details) is handled as described in our Privacy Policy. You are responsible for having the right to share any business information you provide. Information submitted under an engagement is treated as confidential under the terms of that engagement letter.
8. Third-Party Websites and Services
The Site may contain links to, or integrate, third-party websites and services (for example scheduling tools or the client portal login). These are provided for convenience only. We do not control and are not responsible for third-party sites or services, their content, or their privacy practices, and a link does not imply our endorsement. Your use of them is at your own risk and subject to their own terms.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. While we strive to keep information on the Site accurate, complete, and current, we do not guarantee — and are not responsible for damage or loss related to — its accuracy, completeness, or timeliness. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. If you are dissatisfied with the Site, your sole remedy is to stop using it.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CREDITLAB AND ITS OWNERS, EMPLOYEES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited by law, and nothing here limits or replaces the terms of a signed engagement letter. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless CreditLab and its owners, employees, and representatives from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.
12. Claims of Infringement
If you believe any Content on the Site infringes your copyright or other rights, please contact us at info@creditlab.io with enough detail for us to evaluate the claim (identification of the work, the location of the material on the Site, and your contact information). We will review and respond promptly.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or where required to protect the Site or other users. Sections of these Terms that by their nature should survive termination (including Sections 5, 9, 10, and 11) survive.
14. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
15. General
These Terms, together with the policies incorporated into them, are the entire agreement between you and CreditLab regarding the Site, superseding any prior understandings on that subject (except any signed engagement letter, which governs the engagement it covers). Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization or sale. These Terms are governed by the laws of the United States and the state in which CreditLab is organized, without regard to conflict-of-law rules; any engagement is governed by the law specified in its engagement letter.
